General Role Description

Draft and negotiate commercial contracts and provide cross-functional legal and risk management support to the organization

Role Accountabilities

  • Draft, review, and negotiate contracts with clients, guiding business unit (BU) team members through negotiations by identifying relevant issues, establishing negotiation tactics, advising on legal and commercial implications of contract clauses, advising of market positions, consulting with General Counsel on major risk items and novel issues, as needed
  • Review and analyze legacy terms for key clients, develop recommendations for General Counsel and senior management consideration regarding terms improvement, and negotiate improvements as needed
  • Advise Company personnel on day-to-day issues related to commercial matters, contracts, strategic initiatives, and business processes
  • Analyze company’s position and advise BU’s regarding disputes with clients and vendors, and draft settlement agreements or less formal resolution documentation, as needed
  • Review and negotiate ancillary documents such as consents, assignment agreements, subordination agreements and bonds
  • Review, comment and advise project management teams regarding lien waivers, warranty letters, close-out packages and other post-sale documentation
  • Review and comment on quotation letters and proposals, and develop templates for use by the BU’s
  • Improve gaps in contracting process, particularly regarding contract formation and PO’s, proactively and in collaboration with relevant individuals
  • Provide advice and guidance to Company functional units on a broad range of legal and risk management matters, including, but not limited to, sourcing, logistics, insurance, tax, health and safety, marketing, sales, IP, and R&D
  • Consult with functional units during contract negotiations to ensure contracts align with company practices regarding safety, logistics and finance, as needed
  • Negotiate and draft ancillary agreements for functional units, as needed
  • Review and comment on technical and marketing articles for publication, as requested
  • Verify coverage with insurance brokers vis-à-vis contract requirements and other miscellaneous matters, as needed
  • Provide advice and guidance in connection with legal compliance matters, including, but not limited to, anti-bribery, anti-corruption, data privacy, antitrust, trade compliance and other ethical business practices
  • Provide advice and guidance in connection with the company’s domestic and international business development activities, including, but not limited to, cross-border merger and acquisition due diligence, and document drafting and negotiation
  • Provide advice and guidance in connection with the company’s corporate secretarial activities, including, but not limited to, subsidiary governance globally and assistance with board of directors and shareholders meetings, minutes, and consents
  • Perform litigation related activities, such as drafting litigation hold notices and development of strategies with outside counsel, as assigned
  • Develop and improve legal forms, such as variants of master supply agreement and sales rep agreement
  • Travel with commercial team members to client locations for in-person negotiations, as needed

Minimum Qualifications

  • Juris Doctor degree or equivalent via education and/or work experience
  • Bachelor’s degree or equivalent
  • US qualified lawyer with admission to practice in at least one state bar
  • Demonstrated successful working relationships with clients, suppliers, and other internal and external contacts
  • Demonstrated successful and positive personal leadership, interpersonal, organizational, administrative, and communication skills
  • Demonstrated continuous improvement in areas of responsibility
  • Proficiency in MS Word, Excel, Outlook
  • Availability to travel, domestically and internationally, 10%, sometimes with limited notice

Preferred Qualifications

  • MBA
  • 2 years’ experience in the corporate/commercial practice group of a large law firm or an in-house legal department
  • Experience drafting, reviewing, and negotiating commercial contracts
  • Non-legal work experience between undergraduate and law school
  • International travel experience
